Basic path
Request NDA.
The form asks for a description of the need, the name of person and company, address, and questions that will help legal put the right terms in the agreement / send the right NDA template.
Legal will send the NDA to the other party through ContractWorks.
Other party receives and reviews.
If other party has questions or request a revision, see below. Otherwise, they sign it.
ContractWorks routes it to Nate, and he signs it.
It’s filed automatically in ContractWorks.
If the other party has questions or requests revisions
You receive the questions.
If they only want their name or address corrected, send that to legal@miraterrasoil.com and restart with step 2 above.
If they want other changes, email legal@miraterrasoil.com with your request for support.
Legal reviews and advises you and your department head on next steps.
If we can simply agree to the request, legal will send updated NDA.
If we need to discuss the revision request with the other party, legal will advise you. You’ll agree on an approach and talk to the other party. If you come to agreement, legal will send an updated NDA or the other party will sign the one already sent. If not, we end without a signed NDA.

Remember to get an NDA (see above) before disclosing any confidential information to the contractor.
Request Contractor agreement.
The form asks for a description of the contractor, details of the role, start date, financial terms, equipment needs, network needs, and so on.
Remember that taking on a contractor requires approval by both your department head and the CEO.
Legal prepares a contract and sends to HR for review.
HR reviews and approves.
Legal sends to the other party through ContractWorks.
Other party receives and reviews.
If other party has questions or requests a revision, see below. Otherwise, they sign it.
Talent & Culture and HPC will complete contractor/consultant readiness checklists.
If the other party has questions or requests revisions
You receive the questions.
If they only want their name or address corrected, send that to legal@miraterrasoil.com and restart with step 2 above.
If they want other changes, email legal@miraterrasoil.com with your request for support.
Legal reviews and advises you and your VP on next steps.
If we can just agree to the request, legal will send updated contract.
If the changes are common requests to which we have standard responses, legal will send updated contract.
If we need to discuss the revision request with the other party, legal will advise you. You’ll agree on an approach and talk to the other party. If you come to agreement, legal will send an updated contract or the other party will sign the one already sent. If not, we end without a signed contract.
This process could be for a contract with a vendor, a service provider, etc.
Basic path
If it looks good to you, email legal@miraterrasoil.com requesting review.
Legal will share the document with department head and Finance (and sometimes Nate or Rita) for review.
Reviewers provide comments.
If no revisions are required, continue to Step 4.
If revisions are required, Legal integrates comments and prepares the revision.
You (or your VP) follow up with the other party to share our revision.
If the other party sends back more revisions, go back to step 1. If they accept our revisions, continue on.
If all reviewers approve, Legal starts the signature process.
If we’re using our signature software, Legal will send it out for signature by Nate or Rita and the other party.
If we’re using the other party’s signature software, Legal will provide the appropriate contact information to the other party and will email the signer to alert them of an incoming signature package. They'll review, sign, and forward the fully signed agreement to legal@miraterrasoil.com for record-keeping.
